WEAVE ROBOTICS PRE-ORDER AGREEMENT

This Pre-Order Agreement (this “Agreement”) governs reservation deposits for a Weave Robotics device prior to commercial availability.

By submitting a deposit, you (“Customer”) agree to the terms of this Agreement.

For purposes of this Agreement:

  • “Weave,” “we,” “us” means Weave Robotics, Inc.
  • “Device” means the Weave Robotics laundry-folding robot and related hardware.
  • “Services” means any related software, mobile applications, teleoperation systems, or associated services intended to be provided with the Device.
  • “Reservation” means a place in line for potential future delivery of a Device.
  • “Deposit” means the amount paid by Customer to secure a Reservation.
  • “Order Agreement” means the separate agreement that must be executed between Weave and Customer prior to delivery of any Device.
1. RESERVATION DEPOSIT

By submitting a Deposit, you reserve a Reservation for a future Device.

You acknowledge and agree that payment of the Deposit does not constitute a commitment by Weave to deliver a Device or begin providing the Services. Rather, it constitutes your purchase of the opportunity to enter into a future Order Agreement, subject to availability and Weave’s discretion.

Weave may accept, decline, delay, or cancel any Reservation in its sole discretion. Refunds of Deposits will be processed in accordance with Section 4 of this Agreement.

2. PRODUCT DEVELOPMENT

You acknowledge and agree that:

  • The Device remains in development;
  • Final specifications may differ materially from prototypes, demonstrations, or marketing materials;
  • Delivery timing may change.

Weave makes no representation regarding final features, performance, or delivery dates.

3. PRODUCTION NOTICE

When commercial availability of the Device or Services nears, Weave will make commercially reasonable efforts to notify you using the contact information provided at the time of Reservation.

Upon such notice, you may:

  • Confirm your intent to proceed and execute the then-current Order Agreement; or
  • Cancel your Reservation.

Failure to timely respond may result in forfeiture of your Reservation position.

4. CANCELLATION & REFUND

You or Weave may cancel the Reservation at any time prior to execution of an Order Agreement. To cancel your Reservation and initiate a refund, please send an email to contact@weaverobots.com.

If either party cancels the Reservation, the Deposit will be refunded without interest.

Refund of the Deposit is Customer’s sole and exclusive remedy arising out of or relating to this Agreement or any Reservation.

5. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER WEAVE NOR ITS SERVICE PROVIDERS INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE DEVICE OR SERVICES SHALL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUES, LOST SAVINGS, LOST BUSINESS OPPORTUNITY, LOSS OF DATA OR GOODWILL, OR COST OF SUBSTITUTE PRODUCTS OR SERVICES, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR ANY RESERVATION, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEAVE’S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT OF THE DEPOSIT PAID BY CUSTOMER.

6. NO OBLIGATION TO SELL

Creation of a Reservation or payment of a Deposit does not obligate Weave to deliver a Device or provide Services.

Delivery of any Device requires mutual execution of a separate Order Agreement between Weave and Customer.
